Terms of Service

These Terms of Service ("Terms") are a binding agreement between you and Andre Justin Alleyne II, a sole proprietor doing business as SoTrustworthy ("SoTrustworthy," "we," "us," or "our"), and govern your access to and use of the SoTrustworthy website, application, and related services (collectively, the "Service"). Please also review our Privacy Policy and SMS Messaging Terms, which are incorporated into these Terms by reference.

1. Acceptance of the terms

By creating an account, starting a free trial, purchasing a subscription, or otherwise accessing or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, do not use the Service.

2. Eligibility and business use

You must be at least 18 years old and legally authorized to act on behalf of the business you register. The Service is intended primarily for business use by owners, operators, employees, and authorized agents of a business.

3. Account responsibilities

You are responsible for:

• Providing accurate, current, and complete information;
• Protecting your login credentials and any API keys;
• Maintaining authorized access for your team;
• All activity that occurs under your account;
• Promptly notifying us at admin@sotrustworthy.com of any suspected unauthorized access.

4. The SoTrustworthy service

The Service provides tools that may include, depending on your plan and configuration:

• Review-request campaigns;
• SMS messaging and reminders;
• Contact management;
• Review monitoring and analytics;
• Google Business Profile management features;
• CRM and field-service integrations;
• Automation triggered by customer or job activity.

Individual features may depend on third-party services and on your subscription tier, and may change from time to time.

5. Customer data and contacts

You retain ownership of your business, contact, job, review, and campaign data ("Customer Data"). You authorize SoTrustworthy to process Customer Data solely to provide, secure, support, and improve the Service. You represent and warrant that you have the legal right to upload, import, synchronize, and use all contact information you submit to SoTrustworthy.

6. Messaging consent and customer responsibility

You are solely responsible for:

• Obtaining legally valid consent before sending SMS messages;
• Maintaining evidence of that consent;
• Honoring STOP, unsubscribe, and revocation requests;
• Complying with the TCPA, CTIA guidelines, carrier rules, Twilio requirements, and any other applicable laws;
• Ensuring imported CRM contacts may legally receive the selected messages;
• Avoiding purchased, rented, scraped, or otherwise unlawfully obtained contact lists.

SoTrustworthy's automation tools do not replace your responsibility to determine whether a given message may legally be sent to a given recipient. See our SMS Messaging Terms for additional details.

7. Review-platform compliance

You may not use the Service to:

• Post fake or purchased reviews;
• Manipulate reviews or ratings;
• Offer incentives that violate a review platform's policies;
• Engage in review gating or selectively suppress dissatisfied customers from leaving reviews;
• Misrepresent customer experiences;
• Send review requests to people who were not genuine customers.

Google and other review platforms control their own policies and may change them at any time. You are responsible for staying compliant with the platforms you use.

8. Acceptable use

You may not, and may not allow anyone else to:

• Send spam or unsolicited messages;
• Engage in fraud, impersonation, harassment, threats, or illegal activity;
• Distribute phishing content or malware;
• Attempt to bypass consent, opt-out, sending-hour, subscription, or usage controls;
• Reverse engineer or interfere with the Service;
• Access another business's data without authorization;
• Use the Service in a way that is excessive or abusive to our APIs;
• Use the Service in a way that harms SoTrustworthy, carriers, service providers, or third parties.

We may suspend or terminate access for violations, security threats, excessive carrier complaints, or legal or compliance risk.

9. Third-party integrations

The Service may connect with third-party services such as Google Business Profile, Jobber, Housecall Pro, Workiz, Service Fusion, Twilio, Stripe, and others. Those services are governed by their own terms and policies. By connecting an integration, you authorize SoTrustworthy to communicate with that service on your behalf. Integrations may change, restrict access, experience downtime, or discontinue APIs. SoTrustworthy is not responsible for the availability or policies of third-party services. You may disconnect integrations through your dashboard where supported.

10. Subscriptions, trials, billing, and renewals

• We may offer a free trial. Trial terms, including duration and payment-method requirements, are displayed at signup.
• Subscriptions are offered on monthly or annual terms and renew automatically until canceled.
• Fees are billed at the beginning of each subscription period.
• Current plan prices are shown on the pricing or checkout page at the time of purchase.
• Plans may include usage allowances; overages, optional SMS top-ups, and setup services may be billed separately.
• Fees are exclusive of applicable taxes, which may be added at checkout.
• You may upgrade or downgrade your plan from billing settings.
• You may cancel at any time from billing settings. After cancellation, you retain access through the end of the paid billing period.

11. Refund policy

Except where required by law or expressly stated at the time of purchase, payments are generally non-refundable. Subscription charges, SMS credit purchases, and setup or professional services are typically non-refundable once billed. We will investigate and, where appropriate, correct duplicate or clearly erroneous charges. We may provide discretionary refunds or credits from time to time; doing so does not obligate us to issue future refunds.

12. SMS usage and carrier charges

SMS allowances may be measured in message segments. Longer messages, non-GSM characters, or media may consume multiple segments. Carrier delivery is subject to carrier networks, recipient devices, and third-party providers, and is not guaranteed. Unused monthly SMS allowances expire at the end of the applicable billing period unless the plan you purchased expressly states otherwise.

13. Intellectual property

You retain ownership of your content and Customer Data. SoTrustworthy retains ownership of the application, code, branding, user interface, documentation, and platform technology. Subject to these Terms, we grant you a limited, revocable, non-transferable, non-exclusive right to use the Service during an active trial or paid subscription.

14. Feedback

If you voluntarily submit suggestions, ideas, or feedback about the Service, you grant SoTrustworthy a perpetual, worldwide, royalty-free license to use that feedback without any obligation to compensate you.

15. Confidentiality and security

Each party will protect the other's non-public confidential information using reasonable care. SoTrustworthy employs reasonable technical and organizational safeguards to protect Customer Data, but no service can guarantee absolute security.

16. Service availability and modifications

The Service may experience maintenance, outages, changes, or interruptions. Features may be modified or discontinued. Where practical, we will provide reasonable notice of material changes. We do not guarantee any specific level of uptime unless committed in a separate written agreement.

17. Suspension and termination

We may suspend or terminate your access for reasons including nonpayment, unlawful messaging, excessive complaints, security threats, fraud, violation of these Terms, or at the request of carriers, regulators, or service providers. Upon termination or disconnection: connected credentials are revoked, queued messages may not be sent, and Customer Data is retained or deleted in accordance with our stated retention practices and applicable law. You may request deletion of your account at any time.

18. Disclaimers

The Service is provided "as is" and "as available." SoTrustworthy makes no warranties, express or implied, including any implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not guarantee any specific volume of reviews, ratings, search ranking, revenue, customer response, message delivery, or uninterrupted access. We do not guarantee that any third-party integration will remain available. SoTrustworthy is not a law firm and does not provide legal advice.

19. Limitation of liability

To the maximum extent permitted by law, SoTrustworthy will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, or business interruption, arising out of or relating to the Service. SoTrustworthy's aggregate liability arising out of or relating to these Terms or the Service will not exceed the amounts you paid to SoTrustworthy during the twelve (12) months immediately preceding the event giving rise to the claim. Some jurisdictions do not allow certain limitations, and those limitations will apply only to the extent permitted by law.

20. Indemnification

You agree to defend, indemnify, and hold harmless SoTrustworthy from and against any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your unlawful messaging; (b) your lack of recipient consent; (c) your content or Customer Data; (d) your violation of applicable laws; (e) your misuse of third-party integrations; or (f) your violation of these Terms.

21. Governing law and disputes

These Terms are governed by the laws of the State of New Jersey, without regard to its conflict-of-laws principles.

22. Changes to the Terms

We may update these Terms from time to time. When we make material changes, we will notify you through the Service or by email and update the "Last updated" date above. Where legally permitted, your continued use of the Service after the effective date constitutes acceptance of the updated Terms.
